Terms of Service

Please read these Terms carefully before using KanChill. By registering or using the platform, you agree to all terms set out below. If you do not agree, please do not use the platform.

1. Introduction

KanChill ("Platform", "we", "us", "our") is a worldwide social marketplace operated by THE PIPIT ENTERPRISE (Registration No. 002132741-H). KanChill combines a social content feed with a marketplace ("Pasar") where sellers list products and buyers discover and purchase them.

These Terms of Service govern the relationship between you ("User", "Buyer", or "Seller") and KanChill. By accessing or using our platform, you agree to be bound by these Terms and all related policies, including our Privacy Policy.

ℹ️ All fees are currently waived during our launch period. All amounts, caps, and thresholds described below are not final and are illustrative examples only. KanChill reserves the right to introduce, set, adjust, or remove any fee, cap, or threshold at any time, with at least 30 days' notice before any charge begins or increases. Grace and settlement period lengths (in days) are also configurable and may change; current figures are always shown on your Billing & Credit page and in our FAQ.

3.1 Zero Commission

KanChill charges 0% commission on sales. Sellers keep the full sale amount, subject only to their chosen payment processor's own fees (e.g. PayPal). This includes no commission on shipping fees.

3.2 Seller Plan

Selling on KanChill requires an active seller plan. Seller plans may be offered on monthly, 6-month, or annual plans at rates published on our Billing & Credit page. Individual sellers and registered business/corporate sellers may be charged at different rates.

The monthly seller plan requires a minimum term of 2 months. If you cancel before completing the minimum term, seller plan and applicable shared costs for the full 2-month period remain payable. This ensures fairness to sellers who share ongoing platform costs together.

Seller plans auto-renew by default at the end of each billing cycle. You may turn off auto-renew or cancel your seller plan at any time via Billing & Credit in your account settings. Cancellation takes effect at the end of the current billing cycle, subject to the minimum term above.

If your selected plan is discontinued. If the specific plan you selected is removed or discontinued before your next renewal, we will notify you in advance so you can choose a different plan. If auto-renew is on and you have not selected a new plan by the renewal date, your seller plan will automatically renew on the lowest-priced available plan as a default, so your shop is not unexpectedly interrupted. You may change plans at any time afterward.

3.3 Cost-Sharing (Shared Infrastructure Contribution)

Purpose. KanChill operates on a 0% commission model. To keep the platform running, active sellers share the actual cost of shared infrastructure (hosting, CDN, domain, and related operating expenses). This is a cost-recovery contribution, not a profit margin or commission.

How your share is calculated. Each billing cycle, the confirmed total infrastructure cost for that period is divided by the number of active sellers, shown on your billing page as:

(total infrastructure cost ÷ active sellers), up to a capped maximum

A maximum cap may apply — you will never pay more than the capped amount even if the per-seller figure is higher. The formula, current cap, and your live figure are always shown on your Billing & Credit page.

Waived sellers are still counted. Sellers whose contribution is waived remain part of the divisor. This keeps each remaining seller's share lower, not higher.

When you are charged. Your contribution is charged on your billing anchor date (the day of the month your plan became active), calculated at that moment using the confirmed infrastructure cost and the live active-seller count. Because the seller count changes over time, sellers charged on different dates may pay slightly different amounts.

Free introductory months. First-time sellers may receive a number of free cost-sharing months, as set by the plan they select. This applies to genuinely new sellers only. A seller who previously left, was suspended, or cancelled does not qualify for the introductory offer again.

Payment method. Contributions are first taken from your available KanChill credit. If you have enabled auto-charge and hold insufficient credit, your saved PayPal payment method may be charged for the outstanding amount.

Estimates before launch. Where an amount is shown as an estimate, it is indicative only and may vary slightly once billing goes live.

Changes. Infrastructure costs confirmed for a given period are locked for that period. New or updated expenses apply to a future billing period, not retroactively.

3.4 Deposit & Advance Billing

Costs are billed in advance, drawn first from the deposit balance in your Billing & Credit wallet. You will receive reminder emails when your balance is low.

3.5 If a Seller Plan Renewal Fails

If your seller plan cannot auto-renew, a grace period applies (currently up to 7 days; this may change — the current figure is always shown on your Billing & Credit page). During grace:

If still unpaid after grace, the seller account is suspended: listings are hidden, your shop page shows as "closed," and seller features end. To sell again you must rejoin and pay the applicable Seller Plan Restart Fee.

3.6 If a Cost-Sharing Charge Fails

Because unpaid infrastructure costs affect the whole community, this follows a stricter path. First, a short settlement window (currently about 3 days) applies during which all listings remain normal. If still unpaid, a grace period begins (currently up to 7 days), during which:

If still unpaid after grace, the seller account is suspended: listings hidden, shop shown as "closed," and the plan fully ends. Rejoining requires paying any outstanding cost-sharing balance and the applicable Seller Plan Restart Fee before selling resumes.

Seller plan fees (monthly, 6-month, and annual) are non-refundable, including upon early cancellation. Turning off auto-renew stops the next cycle but does not refund the current period.

3.7 Cancellation, Suspension & Restart Fee

Cancelling your shop. When you cancel, you choose whether to keep your listings archived in your shop (not publicly visible, so they can be reactivated if you return) or delete them. Both options carry a fee based on how long ago you cancelled, with a higher rate after 30 days. Current fee amounts are shown on your Billing & Credit page at the time of cancellation.

These amounts are subject to change. This cancellation fee is separate from, and does not by itself trigger, the Seller Plan Restart Fee below — the restart fee applies only when reactivating a suspended shop (non-payment), not a voluntarily cancelled one.

A Seller Plan Restart Fee applies only to a suspended shop — that is, a shop where the grace period expired unpaid and the account was suspended. To reactivate a suspended shop, the seller must pay, within that same shop: (1) any outstanding shared-cost balance, (2) the applicable Seller Plan Restart Fee, and (3) a seller plan at the then-current rate.

Opening a new seller account: To prevent avoidance of outstanding obligations, KanChill may match seller identity across accounts using payment-processor identifiers (such as PayPal payer ID or email, or DuitNow ID). If a matching identity has an unresolved suspended shop, you may not open a new seller account until the suspended shop is resolved — either by reactivating it (paying the restart fee and plan) or cancelling it cleanly. Any restart fee is always paid in the original suspended shop, never on a new one.

The Seller Plan Restart Fee and all thresholds are illustrative and subject to change.

3.8 Launch Promotions & Free Periods

During the launch period, KanChill may offer waived shared costs and free introductory-period incentives to new sellers (for example, in exchange for maintaining a minimum number of active listings, sharing listings on the KanChill feed, or other optional activities). These promotions apply to first-time sellers only, may exclude rejoining members, are verified per seller identity, and may be changed or withdrawn at any time. Repeatedly deleting and recreating listings to inflate activity may be flagged for review.

4. Long-Term Seller Reward

At KanChill's sole discretion, active sellers who maintain a continuous paid seller plan for a qualifying period, keep active listings, and have no moderation violations may receive a loyalty credit from a limited reward pool.

This is a discretionary benefit based on platform activity, not a guaranteed share of company profit, and not a reward for recruiting or referring other members. Eligibility, amounts, and the reward pool are determined solely by KanChill and may be changed or withdrawn at any time.

5. Seller Obligations & Buyer Protection

Sellers may publish their own shop policies (returns, shipping terms, custom order terms), which apply in addition to, not instead of, KanChill's baseline Buyer Protection. If a seller provides no custom policy, KanChill's standard Buyer Protection Policy applies by default.

5.3 KanChill's Role in Disputes

KanChill does not hold buyer or seller funds. Payments are made directly to sellers via their chosen processor (e.g. PayPal). Accordingly:

6. Direct Messaging (DM) Access

Direct messaging on KanChill is available exclusively between active sellers, or between an active seller and a buyer. Users who do not hold an active seller plan may not initiate or participate in new direct message exchanges with other non-seller users.

Upon cancellation or expiration of a seller plan, all existing direct message threads involving that user become read-only. Neither party may send new messages in those threads. Users with unresolved orders are directed to the dispute resolution system to settle outstanding transactions.

KanChill support accounts, system accounts, and platform administrators are exempt from this restriction and may communicate with any user at any time.

KanChill reserves the right to modify, suspend, or revoke direct messaging access at its discretion, including in cases of policy violation, account suspension, or platform abuse.

7. User Content

You retain ownership of the content you create. By posting content on KanChill, you grant us a non-exclusive licence to display, distribute, and promote that content within our platform.

You agree not to:

ℹ️ KanChill has no exclusivity requirement — you are free to sell your products through other channels, your own website, or in person. This rule only prohibits soliciting KanChill users to transact off-platform to bypass fees. Enforcement follows a ladder: warning → listing removal → suspension → forfeiture of seller plan, depending on severity.

9. Ownership & Intellectual Property

All elements of the KanChill platform — including brand name, logo, interface design, and source code — are the exclusive property of KanChill / THE PIPIT ENTERPRISE and protected by intellectual property law.

You may not imitate, copy, or use any of these elements without our written permission.

10. Enforcement & Restrictions

We reserve the right, at our discretion, to:

Where we terminate an account, we will provide notice where reasonably possible. Non-refundable fees are not returned on termination for cause.

Credit balance on termination or ban. If your account is suspended, terminated, or banned, we may first offset any amounts you owe (such as outstanding cost-sharing, unsettled dispute liabilities, or chargebacks). Any remaining KanChill credit is refunded within 30 days to the original PayPal sender. Refunds are returned via PayPal and any associated PayPal transaction fees are borne by the recipient. Where a balance relates to fraud, an open chargeback, or an unresolved buyer refund, we may withhold the relevant amount until the matter is resolved.

KanChill is provided "as is" without warranty of any kind. We are not responsible for:

To the extent permitted by law, KanChill and its operators shall not be liable for any indirect, incidental, or consequential loss arising from use of this platform, including transactions between buyers and sellers.

13. Force Majeure

KanChill is not liable for any failure or delay caused by events beyond our reasonable control, including but not limited to platform downtime, payment processor outages, internet or hosting failures, natural disasters, or government action.

14. Governing Law

These Terms are governed by the laws of Malaysia. Any dispute shall be resolved in the courts of Malaysia having jurisdiction.

The platform complies with applicable Malaysian law, including:

Sellers and buyers remain responsible for complying with the laws of their own jurisdiction.

15. Changes to Terms

We may update these Terms from time to time. You will be notified through the platform of significant changes. Continued use after changes means you accept the updated Terms.
